TERMS OF SERVICE

NOTICE TO USERS:
These Terms of Service constitute a legally binding agreement between you and Baba Magic LLC, covering the baba app, baba web app, baba Chrome extension, baba: learn hebrew, and baba Enterprise. By accessing or using any of these products, you agree to be bound by these terms. Please read carefully.
1. Acceptance of Terms
These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "User") and Baba Magic LLC, a Wyoming Limited Liability Company with a registered address at 30 N Gould St Ste N, Sheridan, WY 82801 ("Company," "we," "us," or "our"). These Terms govern your access to and use of the baba mobile app, the baba web app, the baba Chrome extension, and baba: learn hebrew (together, the "Services"). By downloading, accessing, or using any of the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Services.
Baba News (news.itsbaba.com) is a separate product with its own operator and legal terms and is not covered by this document — see Section 5.6.
IMPORTANT NOTICE FOR U.S. USERS: THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER IN SECTION 15. THESE PROVISIONS AFFECT YOUR RIGHTS TO RESOLVE DISPUTES WITH US. PLEASE READ THEM CAREFULLY.
2. Products Covered by These Terms
These Terms apply across four products, each described in more detail in Section 5:
- The baba App — our AI-powered English-Hebrew translation app for iOS and Android.
- The baba Web App — the browser-based version of our translator at app.itsbaba.com.
- The baba Chrome Extension — in-browser translation via a Chrome extension.
- baba: learn hebrew ("baba Learn") — our Hebrew learning app.
baba Enterprise (Meridian CMS, Meridian Static, and the HebrewCore developer API) is our B2B localization platform, sold under a separate signed order form or Master Services Agreement ("MSA") with each business customer. Section 5.5 describes how these Terms relate to that agreement. Baba News is an independently operated news product with its own Terms and Privacy Policy at news.itsbaba.com/terms, governed by the laws of the State of Israel rather than by this document.
3. Eligibility and Accounts
3.1 Age Requirements
The Services are intended for general audiences. Users under the age of 13 (or the applicable age of digital consent in your jurisdiction, which may be 16 in certain countries such as those in the European Economic Area) should only use the Services with the consent and supervision of a parent or guardian. See our Children's Privacy section for more.
3.2 Account Creation
Some features require an account (for example, syncing translation history or learning progress across devices). You agree to provide accurate, current, and complete information and to keep it up to date. baba Learn is fully usable without an account — see Section 5.4.
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@itsbaba.com of any unauthorized use or suspected breach of security.
4. AI-Powered Services — Disclosures
The baba App, baba Web App, and baba Chrome Extension use artificial intelligence, including large language models accessed through third-party AI providers, to generate English-Hebrew translations with contextual and grammatical-gender awareness. baba Learn uses AI to grade written practice answers. You acknowledge and agree that:
- AI Limitations: AI-generated translations and grading may be inaccurate, incomplete, or fail to capture nuance, idiom, or slang. AI output is not a substitute for professional translation, interpretation, legal, medical, or safety-critical communication.
- No Human Review: Translations and answer grading are generated automatically, without routine human review.
- Continuous Change: The underlying AI models are provided by third parties and may change, which can change translation or grading quality over time.
- Contextual Errors: AI may misread context, idiom, slang, or cultural references, and can produce misleading output.
- Reporting Harmful Output: If you encounter harmful, offensive, or clearly wrong AI output, report it to support@itsbaba.com.
- No Training on Your Content: We do not use your translations, images, or learning answers to train AI models. See our Privacy Policy for details on how content you submit is processed by our AI providers.
5. Product-Specific Terms
5.1 The baba App (iOS & Android)
The baba App offers a free plan (2,500 characters of translation per month) and a Pro subscription (currently starting at $5/month, billed yearly, with a 7-day free trial) unlocking higher limits, slang mode, and voice and image translation. Plans, pricing, and included features are described in the App and may change.
- Free Trials: At the end of a free trial, your subscription automatically converts to a paid subscription at the then-current price unless you cancel before the trial ends.
- Automatic Renewal: Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date.
- Payment Processing: All mobile payments are processed through the Apple App Store or Google Play Store. We use RevenueCat to manage subscription status. Your payment relationship with Apple or Google is governed by their own terms in addition to these Terms.
- Price Changes: We may change subscription pricing; changes apply to future billing periods after notice.
- Cancellation: Cancel any time through your Apple App Store or Google Play Store account settings, at least 24 hours before renewal to avoid being charged for the next period.
- Refunds: Payments are generally non-refundable except as required by law or by Apple's or Google's own policies. Refund requests go through Apple or Google directly. Canceling stops future renewals but does not entitle you to a prorated refund for the current period.
5.2 The baba Web App
The baba Web App (app.itsbaba.com) provides the same translation service in a browser, with the same free and Pro plans described in Section 5.1. Web subscriptions are billed and managed through Stripe rather than the App Store or Play Store.
- Billing: You authorize us, through Stripe, to charge your payment method at the start of each billing period until you cancel.
- Self-Service Management: You can view invoices, update payment methods, and cancel your subscription from the billing portal linked in your account settings. Stripe never shares your full card number with us.
- Cancellation and Refunds: Cancel any time from the billing portal; your plan remains active through the end of the paid period. Payments are generally non-refundable except as required by law.
- Cross-Platform Accounts: Signing in with the same account links your history and entitlements across the Web App, App, and Chrome Extension.
5.3 The baba Chrome Extension
The baba Chrome Extension lets you translate selected text on any webpage and access baba from your browser toolbar or side panel. To do this, the extension requests the following browser permissions, used only for the stated purpose:
- activeTab / scripting: to read text you select on a page and insert the translation, only when you trigger a translation.
- storage: to save your sign-in session and preferences locally in the browser.
- contextMenus: to add a "Translate with baba" option to the right-click menu.
- sidePanel: to show the extension's translator panel alongside the page you're viewing.
- cookies / webNavigation: to complete magic-link sign-in when you click the link we email you.
- alarms: to periodically refresh your session token in the background.
Host access is limited to itsbaba.com domains for API calls; the extension does not read or transmit your general browsing history, and it only accesses page content you explicitly select for translation. The extension is free to use, sharing the same account, subscription, and translation limits as the baba App and Web App described above.
5.4 baba: learn hebrew ("baba Learn")
baba Learn is a separate app for learning Hebrew through lessons, spaced repetition, and speaking and writing practice. It works fully offline: you can complete lessons without creating an account, and your progress is stored on your device. Signing in with your email is optional and lets you sync progress across devices.
- baba Pro (Learn): An optional subscription unlocking the full course and features, sold and billed the same way as Section 5.1 — through the Apple App Store or Google Play Store, managed via RevenueCat, with the same free-trial, renewal, cancellation, and refund terms.
- AI Grading: Written practice answers may be sent to an AI grading provider to check and coach your response. This is used only to grade that answer — see our Privacy Policy for detail.
- Speech Practice: Pronunciation checks run using on-device speech recognition; we do not upload or store recordings of your voice.
5.5 baba Enterprise
baba Enterprise is our B2B localization platform for businesses, publishers, and government sites, comprising Meridian CMS (continuous, editorial-workflow website localization), Meridian Static (build-time localization for static sites and generators), and the HebrewCore API (a developer API and dashboard at hc.itsbaba.com).
Enterprise customers use baba Enterprise under a separate, individually signed order form or Master Services Agreement, which governs pricing, service levels, data processing terms (including any Data Processing Addendum), and support commitments for that customer. Where a signed order form or MSA conflicts with these Terms for an enterprise customer, the order form or MSA controls. In the absence of a signed agreement, use of any Enterprise product is governed by these Terms, and by the following baseline rules:
- You may not exceed the API rate limits or usage volumes associated with your plan, or attempt to circumvent metering.
- You retain ownership of the content you submit for translation or localization ("Customer Content"). You grant us a limited license to process, translate, cache, and transmit Customer Content solely to provide the Service to you.
- Glossaries, locked terms, and protected-zone configurations you define are used only to render translations for your account.
- Enterprise inquiries are handled at enterprise@itsbaba.com.
5.6 Baba News
Baba News (news.itsbaba.com) is a Hebrew and Israeli news aggregation product built by the same team, but it is operated under, and governed entirely by, its own separate Terms of Service and Privacy Policy, including its own governing law (the laws of the State of Israel, with courts of Tel Aviv-Jaffa). Nothing in this document applies to Baba News; please refer to its own pages for its terms and privacy practices.
6. User Conduct and Restrictions
6.1 Lawful Use
You agree to use the Services only for lawful purposes and in accordance with these Terms.
6.2 Prohibited Conduct
You agree not to:
- Use the Services in any manner that could disable, overburden, damage, or impair them, or interfere with another party's use of them
- Use any robot, spider, scraper, or other automated means to access the Services, except through the documented HebrewCore API within your plan's usage limits
- Attempt to gain unauthorized access to any part of the Services, or to any server, account, or database connected to them
- Transmit viruses, worms, malware, or other destructive code through the Services
- Use the free consumer Services (baba App, Web App, Extension, or Learn) for commercial resale or on behalf of a third party without our written consent — commercial use is available through baba Enterprise
- Reverse engineer, decompile, or disassemble the Services, or attempt to extract their underlying models, algorithms, or source code
- Remove or obscure any copyright, trademark, or proprietary notice on or within the Services
- Violate any applicable local, state, national, or international law or regulation
- Upload or transmit content that is illegal, harmful, threatening, harassing, defamatory, obscene, or invasive of another's privacy
- Impersonate any person or entity, or misrepresent your affiliation with one
- Attempt to manipulate, abuse, or exploit our AI systems, including through prompt injection
- On the Chrome Extension, use the extension to scrape, harvest, or bulk-translate pages you do not have the right to access
- On the HebrewCore API or Meridian products, exceed contracted rate limits, share API credentials outside your organization, or use the API to build a competing translation or localization product
7. Intellectual Property
The Services, including their software, design, text, graphics, logos, and the "baba" name and marks, are owned by the Company or its licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended personal or (for Enterprise customers) contracted business purpose, subject to these Terms.
Text or images you submit for translation, and your Enterprise Customer Content, remain yours. You grant us a limited license to process that content solely to provide the Services (generate translations, sync history, render localized pages, and similar), as described in our Privacy Policy. We do not claim ownership of content you submit, and — as stated in Section 4 — we do not use it to train AI models.
8. Third-Party Services
The Services rely on and interoperate with third-party services, including Apple and Google (app distribution and in-app payments), Stripe (web payments), RevenueCat (subscription management), and AI providers accessed through Cloudflare AI Gateway and OpenRouter. Your use of those third parties' own products (for example, the App Store or Google Play) is also governed by their terms. We are not responsible for the availability, content, or practices of third-party services.
9. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
AI-SPECIFIC DISCLAIMERS: TRANSLATION IS AN INEXACT SCIENCE AND AI TECHNOLOGY CONTINUES TO EVOLVE. THE SERVICES MAY PRODUCE INACCURATE, INCOMPLETE, OR INAPPROPRIATE OUTPUT. YOU USE ALL AI-GENERATED OUTPUT AT YOUR OWN RISK.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICES AND YOUR RELIANCE ON ANY TRANSLATION OR AI OUTPUT IS AT YOUR SOLE RISK AND DISCRETION.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (1) THE AMOUNT YOU PAID US FOR THE APPLICABLE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (2) ONE HUNDRED U.S. DOLLARS ($100). FOR ENTERPRISE CUSTOMERS, ANY LIABILITY CAP STATED IN A SIGNED ORDER FORM OR MSA CONTROLS INSTEAD OF THIS SECTION.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: your violation of these Terms; your misuse of the Services; content you submit through the Services; or your violation of any law or the rights of a third party.
12. Termination
You may stop using the Services and delete your account at any time — see our Data & Privacy page for how, per product. We may suspend or terminate your access to any Service, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for us, or if we discontinue that Service. Sections that by their nature should survive termination — including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and Miscellaneous — survive termination of your access.
13. Changes to These Terms and to the Services
We may modify these Terms from time to time. We will update the "Last Updated" date above and, for material changes, provide notice by email, an in-app notice, or a notice on this page. Your continued use of a Service after changes take effect constitutes acceptance of the revised Terms. We may also add, change, or discontinue features of any Service at any time.
14. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles, except where applicable consumer-protection law requires otherwise. As noted in Section 5.6, Baba News is governed by the laws of the State of Israel under its own separate Terms, not by this Section.
15. Dispute Resolution
15.1 Informal Resolution
We encourage you to contact us at legal@itsbaba.com to resolve any concern informally first. You agree to attempt informal resolution for at least thirty (30) days before initiating arbitration or other legal proceedings.
15.2 Binding Arbitration (United States Users)
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.
For users accessing the Services from the United States, you and the Company agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (excluding Baba News, and excluding disputes governed by a signed Enterprise order form or MSA that specifies a different dispute-resolution process) will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court.
15.3 Class Action Waiver (United States Users)
YOU AND THE COMPANY AGREE THAT EACH MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
15.4 Opt-Out of Arbitration and Class Action Waiver
You have the right to opt out of the arbitration agreement and class action waiver. To opt out, notify us in writing within thirty (30) days of first accepting these Terms. Your notice must include your full name, the email address associated with your account, and a clear statement that you wish to opt out.

16. Miscellaneous
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
- Waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
- Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Entire Agreement: These Terms, together with our Privacy Policy and, for Enterprise customers, any signed order form or MSA, are the entire agreement between you and us regarding the Services.
- Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control, including outages of third-party providers such as Apple, Google, Stripe, or our cloud infrastructure providers.
